Informal Resolution: The parties shall first attempt to resolve any dispute informally by contacting each other directly. You agree to contact us at legal@fortivsolutions.in with a written description of the dispute, and we will endeavor to resolve the matter within 30 days.
Mediation: If the dispute cannot be resolved informally within 30 days, the parties agree to attempt resolution through mediation administered by a mutually agreed-upon mediator before pursuing arbitration or litigation.
Arbitration: If mediation fails, any unresolved dispute shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Ahmedabad, Gujarat, India, in the English language, by a sole arbitrator mutually agreed upon by the parties.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect intellectual property rights or prevent irreparable harm.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any legal proceedings arising out of or relating to these Terms that are not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

You agree to indemnify, defend, and hold harmless Fortiv Solutions, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
